Terms of Service for Business Clients

1. Scope and Acceptance
These terms apply to all services provided by TudoB2B LTD to business clients ('Client'). By engaging our services, the Client confirms they are acting as a business entity and not as an individual consumer. Engagement of services implies full acceptance of these terms.
2. Consultancy and Project Services
TudoB2B LTD offers a range of specialised consultancy services. Each project is defined by an individual Service Proposal detailing the scope, deliverables, and specific financial conditions. The following general conditions apply.
2.1. Initial Company Structuring Projects
For projects involving the incorporation of new corporate structures, specific conditions apply due to the nature of the work and initial costs.
Acceptance of the proposal for this type of project, which is valid for 7 (seven) days, is formalised through the full payment of the 'Structuring and Initial Consultation Fee'. This payment is final and not subject to a refund, as it remunerates a set of services and costs incurred immediately upon acceptance, including:
Point 1: Due Diligence and KYC/AML Fee: For engaging partners and conducting client compliance and suitability verification. This service is considered rendered regardless of the analysis outcome.
Point 2: Structuring and Intellectual Property Fee: For the development of the strategy, planning, and intellectual property of the customised project for the client, which is considered delivered at the start of the work.
Point 3: Provision for Government and Third-Party Fees: To cover non-recoverable costs with official registrations (e.g., Companies House) and partner services (e.g., Virtual Address).
2.2. Other Consultancy and Ad-Hoc Projects
For all other consultancy services offered (such as, but not limited to, contract drafting, management support, secretarial services, expansion consulting, etc.), the following principles apply:
Service Proposal: Each project will be detailed in a specific Service Proposal, which will define the scope, objectives, deliverables, and investment value.
Payment Terms: The standard condition is 100% of the project value in advance, unless other conditions are expressly agreed in the Service Proposal.
Nature of Service and Non-Refundability: Fees for these services remunerate the time, expertise, and intellectual property of our consultants. Once work on the project has commenced, fees are generally non-refundable.
3. Accounting Services and Cancellation
Engaging our accounting services implies a minimum contractual commitment of 12 months. This condition is necessary to cover irrecoverable costs of software licensing and system integration. In the event of early termination, a fee corresponding to the value of the remaining months of the contract will be applied.
After fulfilling the minimum period, services can be cancelled at any time by providing 30 days' written notice to cancel@tudob2b.com.
4. Governing Law and Jurisdiction
These terms are governed by the laws of England and Wales. Any dispute shall be submitted to the exclusive jurisdiction of the English courts.
